PrintShrimp Terms of Service

Overview - who you are contracting with

PrintShrimp is operated by two companies. Which one supplies you depends on where your order is delivered and, for software, where you are based:

Orders delivered within the United Kingdom are sold and supplied by Printshrimp Ltd (company number 15674576, registered office Office 6357, 321-323 High Road, Chadwell Heath, Essex, RM6 6AX, United Kingdom; VAT number GB 524 8619 73).

Orders delivered outside the United Kingdom are sold and supplied by PrintShrimp Artwork Services - FZCO (licence number 54906, International Free Zone Authority, registered office Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates). For those orders, Printshrimp Ltd collects payment on the FZCO's behalf as its payment collection agent.

Subscriptions, add-ons and credits (the "Software Services") are supplied by Printshrimp Ltd if your billing address is in the United Kingdom, and by PrintShrimp Artwork Services - FZCO otherwise.

In these Terms of Service ("Terms"), "PrintShrimp", "we", "us" and "our" mean whichever of those companies is your supplier for the relevant order or service; these Terms apply to both. The "Services" means our websites, apps, tools, products and services. PrintShrimp is powered by Shopify, which enables us to provide parts of the Services to you.

By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use the Services.

Section 1 - Access and account

The Services are provided for business use by sellers of printed products. By agreeing to these Terms you represent that you are at least 18, are entering into these Terms for business purposes, and have authority to bind the business you act for.

You must provide accurate, current and complete account information - including your billing address and billing country, which determine the taxes applied to your purchases - and keep it up to date.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign or license your account to any other person. Tell us promptly at hey@printshrimp.com if you suspect unauthorised use.

Section 2 - What we do; our products

PrintShrimp is a print-on-demand fulfilment service. You upload artwork, list products for sale in your own store (for example on Etsy or Shopify), and when your customer orders, we print the product and ship it to the delivery address you give us.

You are the seller of record to your own customers. We supply printed goods and shipping to you, not to your customers, and we have no contract with your customers. You are responsible for your own listings, prices, marketplace compliance, customer service, refunds to your customers, and your own tax and legal obligations as a seller. PrintShrimp is not affiliated with, endorsed by or sponsored by Etsy, Shopify or any other marketplace.

Products are custom-made to order. Colours and appearance may differ slightly from how artwork appears on screen due to device settings and the printing process, and we do not warrant that products will exactly match on-screen renders. Product specifications may change, and we may discontinue or limit products, regions or quantities at our discretion.

Section 3 - Orders

When you place an order, you are making an offer to purchase. We may accept or decline any order at our discretion, and your order is accepted when we take payment and begin processing it. If we decline, change or cancel an order we will attempt to notify you using your account contact details, and any amount paid for it will be refunded.

Because every product is custom-made, an order cannot be cancelled or changed once it has entered production. Check artwork, sizes and delivery addresses carefully before paying.

You acknowledge that purchases are made for the purposes of your business, including resale to your own customers.

Section 4 - Prices, billing and VAT

Prices for products and shipping are shown in the app, may change at any time without notice, and the price in effect when you pay for an order applies. Volume discounts and promotions (where offered) apply as described in the app at the time of ordering; where separate promotion terms conflict with these Terms, the promotion terms govern for that promotion.

Prices for orders delivered within the United Kingdom include UK VAT at the applicable rate. Prices for orders delivered elsewhere include no UK VAT. Prices for Software Services include UK VAT where your billing address is in the United Kingdom. A VAT invoice is issued for each payment. Import duties or taxes charged in the destination country are not included and are not our responsibility.

You pay per order by card, or from your PrintShrimp wallet. Wallet top-ups are payments on account, are applied to orders when you place them, and are not income of ours until applied. Where you enable automatic payment, you authorise us to charge imported orders to your wallet as they arrive.

You represent that the payment details you provide are true and complete, that you are authorised to use them, and that you will pay the charges you incur, including shipping and applicable taxes.

Section 5 - Subscriptions, add-ons and credits

Plans, add-ons and credit packs are billed in advance on a recurring monthly basis (except one-off credit packs) at the price shown at purchase. You can cancel a plan or add-on at any time; cancellation takes effect at the end of the paid period, and you keep access until then. Fees for elapsed periods are not refunded, and unused monthly allowances do not roll over unless the app says otherwise.

We may change subscription pricing with reasonable advance notice; changes apply from your next billing period.

Section 6 - Shipping and delivery

Production and delivery times shown in the app are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs processing or events outside our reasonable control. Title and risk of loss pass to you on delivery to the address you provided; you are responsible for ensuring that address is correct and deliverable.

Section 7 - Reprints, refunds and claims

If an order arrives damaged, is lost in transit, or is misprinted through our error, we will reprint and resend it free of charge, or refund it, at our option. Report issues to hey@printshrimp.com within 30 days of the estimated delivery date, with photos where relevant.

We are not responsible for errors in your artwork (including resolution, colour profile and embedded text), wrong sizes or addresses you supplied, or your customers changing their minds. Because products are custom-made, there is no general right of return.

Refunds are made to the original payment method or your wallet. Where a refund relates to an order that included UK VAT, the refund includes the VAT.

Section 8 - Your artwork and content

You keep all rights in the artwork and content you upload. You grant us a worldwide, royalty-free licence to store, process, display, print and ship it solely as needed to provide the Services.

You represent and warrant that you own or are licensed to use everything you upload, and that your content does not infringe any third party's intellectual property or other rights or any law. You will indemnify us against claims, losses and costs arising from your content or your listings.

We may refuse, suspend or remove content that we reasonably believe is unlawful or infringing.

Section 9 - Our intellectual property

The Services - including our trademarks, brands, text, designs, images, software and their selection and arrangement - are owned by PrintShrimp, its affiliates or licensors and are protected by intellectual property laws. We grant you a licence to use the Services only as needed to operate your business with us. You must not copy, resell, scrape or create derivative works of the Services, and you must not use our names or logos without our prior written permission. Shopify's names and logos are Shopify's trademarks. All rights not expressly granted are reserved.

Section 10 - Optional tools and third-party links

We may give you access to third-party tools, integrations and links (including marketplaces such as Etsy and Shopify) that we neither monitor nor control. We provide access "as is" and "as available" without warranties or endorsement, and we are not liable for your use of them. Your use of third-party services is governed by their terms, which you should review. Complaints about third-party products or services should be directed to the third party.

Section 11 - Relationship with Shopify

PrintShrimp is powered by Shopify, which enables us to provide parts of the Services to you. However, any sales and purchases you make with PrintShrimp are made directly with PrintShrimp. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and PrintShrimp, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with PrintShrimp.

Section 12 - Privacy and your customers' data

Personal information we collect through the Services is handled as described in our Privacy Policy at printshrimp.com. Some information may also be processed by Shopify under Shopify's privacy policy.

Where you pass us your customers' details (such as names and delivery addresses), you confirm you are entitled to share them with us for fulfilment, and we will use them only to fulfil your orders and as described in the Privacy Policy.

Section 13 - Feedback

If you send us ideas, suggestions, reviews or other feedback, you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use it for any purpose, including improving and promoting the Services. You warrant you have the rights to the feedback you provide, and we have no obligation to keep it confidential, compensate you for it, or respond to it. We may monitor, edit or remove feedback that we consider unlawful, offensive or infringing.

Section 14 - Errors, inaccuracies and omissions

The Services may occasionally contain typographical errors, inaccuracies or omissions relating to descriptions, pricing, promotions, shipping charges, transit times or availability. We may correct errors and change or update information, or cancel orders whose information was inaccurate, at any time without prior notice (including after you have submitted an order, in which case you will be refunded).

Section 15 - Prohibited uses

You may use the Services for lawful business purposes only. You must not use the Services to break the law, infringe others' rights, transmit malicious code, harass anyone, send spam, impersonate any person, scrape or bulk-extract the Services, interfere with or circumvent security or access controls, or misuse discounts, credits, refunds or claims processes. We may suspend, disable or terminate accounts that violate these Terms.

Section 16 - Automated agents

If software acting on your behalf (an "Agent") accesses the Services, it must identify itself as an agent in its user agent string, must not conceal that it is automated, must not complete or circumvent CAPTCHAs or other measures that distinguish humans from computers, and must answer truthfully if asked whether it is automated. We may limit or block Agent access by technical or other means.

Section 17 - Suspension and termination

You can stop using the Services and close your account at any time; charges already incurred remain payable. We may suspend or terminate your access for material breach of these Terms, unlawful activity, abuse or non-payment, giving notice where reasonable, and you remain liable for amounts due up to termination. Wallet balances on lawful account closures are returned to you, less amounts you owe. Sections that by their nature should survive termination do so, including intellectual property, feedback, liability, indemnification and governing law.

Section 18 - Disclaimer of warranties

Information on the Services is provided for general information and we do not warrant its accuracy or completeness. Except as expressly stated in these Terms, the Services and products are provided "as is" and "as available", and all implied warranties and conditions (including merchantability, satisfactory quality, fitness for a particular purpose and non-infringement) are excluded to the fullest extent permitted by law. We do not guarantee that the Services will be uninterrupted, timely, secure or error-free. Nothing in this section limits the reprint and refund commitments in Section 7.

Section 19 - Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything that cannot lawfully be limited.

Subject to that: our total liability in respect of any order is limited to the amount you paid for that order; our total aggregate liability in any 12-month period is limited to the amounts you paid us in that period; and neither we, our affiliates, our directors, employees, agents and suppliers, nor Shopify and its affiliates, are liable for loss of profits, loss of revenue, loss of sales, loss of data, loss of goodwill, replacement costs, or any indirect, incidental, special, punitive or consequential loss, whether based in contract, tort (including negligence), strict liability or otherwise, even if advised of the possibility.

Section 20 - Indemnification

You agree to indemnify, defend and hold harmless PrintShrimp, Shopify, and our respective affiliates, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable legal fees, payable to any third party arising out of (1) your breach of these Terms or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party (including in relation to content you upload and products you sell), or (3) your access to and use of the Services. We will notify you of any indemnifiable claim; we may control the defence and settlement at your expense but will not settle a claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld).

Section 21 - Severability; waiver; entire agreement; assignment

If any provision of these Terms is found unlawful, void or unenforceable, it is enforceable to the fullest extent permitted and severable without affecting the remaining provisions. Our failure to enforce any right or provision is not a waiver of it. These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding the Services and supersede prior agreements on the subject. You may not assign these Terms without our prior written consent; we may assign them to a group company or in connection with a reorganisation or sale. Headings are for convenience only.

Section 22 - Governing law

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Section 23 - Changes to these Terms

The current version of these Terms is always available on this page. We may update them from time to time; we will post the updated Terms with a new date and, for material changes, give notice in the app or by email in accordance with applicable law. Continued use of the Services after a change takes effect means you accept the updated Terms.
